Touring Jonny Lab Service Agreement

Effective Date: June 1, 2026

These Service Agreement terms apply to video production services provided by TOURING JONNY LAB. Project-specific details, including production dates, locations, scope of services, equipment, deliverables, pricing, payment schedules, and other applicable terms, may be specified in the corresponding invoice, estimate, project documentation, or other written agreement between TOURING JONNY LAB and the Client.

When a Client enters into a project-specific Service Agreement with TOURING JONNY LAB, that signed agreement, together with the applicable invoice and incorporated project documentation, governs the Project.

Terms

Scope of Services

The Client is hiring TOURING JONNY LAB to provide video production services as described in the corresponding invoice, estimate, project description, or other written agreement between the parties. The specific production date, location, production scope, equipment package, deliverables, and any services included or excluded from the project will be defined in the applicable invoice or project documentation. The applicable invoice and any project-specific information contained in it are incorporated into and form part of this Agreement.

Any services not specifically included in the agreed project scope are considered additional services and may require additional fees.

Production Company Responsibilities

TOURING JONNY LAB will perform the agreed services with reasonable professional care and in accordance with the scope of services described in the applicable invoice and project documentation.

TOURING JONNY LAB will provide the personnel and production equipment specifically included in the agreed project scope and will make reasonable professional efforts to capture, produce, and deliver the agreed production materials or deliverables.

Where a delivery schedule or completion deadline has been agreed in writing, TOURING JONNY LAB will make reasonable professional efforts to deliver the applicable materials or deliverables within that agreed time period, subject to Client delays, requested changes, force majeure, technical issues, or other circumstances addressed elsewhere in this Agreement.

TOURING JONNY LAB will be responsible for obtaining any permits, licenses, or approvals specifically required for its own business operations or equipment, except for location permissions, participant releases, or other authorizations assigned to the Client under this Agreement.

Unless a specific result is expressly guaranteed in writing, TOURING JONNY LAB does not guarantee any particular creative, commercial, marketing, audience, engagement, sales, or other performance outcome resulting from the Project.

Personnel and Substitution

TOURING JONNY LAB may use employees, independent contractors, subcontractors, camera operators, assistants, or other qualified production personnel to perform services under this Agreement.

TOURING JONNY LAB reserves the right to assign or substitute production personnel when reasonably necessary, including replacing a camera operator or other crew member with another qualified professional, without requiring additional approval from the Client.

Unless a specific individual is expressly identified in writing as required personnel for the Project, the Client acknowledges that this Agreement is for services provided by TOURING JONNY LAB and does not guarantee the personal attendance or performance of any particular individual.

TOURING JONNY LAB remains responsible for the performance of the services required under this Agreement.

Production Time, Delays and Overtime

Production time includes time during which TOURING JONNY LAB and its personnel are required to remain on location and available to perform the agreed services, including reasonable delays caused by the Client, participants, location access, or other circumstances within the Client's control.

Unless otherwise agreed in writing, booked production time begins at the confirmed crew call time and includes reasonable setup, equipment preparation, lighting and audio setup, filming, breakdown, and any production-related movement or travel between scheduled locations during the booked production period.

Production time, crew call time, scheduled filming times, and any included production-hour limits will be stated in the applicable invoice, project documentation, or other written communication between the parties.

The crew call time may be confirmed separately in writing before production and, once confirmed, will form part of the project documentation. Where a crew call time is specified, booked production time begins at the confirmed crew call time rather than the scheduled filming, interview, or event start time.

If no separate crew call time is specified, production time begins when TOURING JONNY LAB arrives at the first production location to begin the agreed production services.

If the Client requests production beyond the originally scheduled time or expands the agreed scope of services, additional time may be subject to additional charges. Any applicable overtime or additional production charges will be communicated and agreed upon before the additional services are performed whenever reasonably practicable.

TOURING JONNY LAB is not required to provide additional production time if scheduling, personnel, location, safety, or other operational circumstances do not reasonably permit it.

Payment and Booking

The Client agrees to pay all invoices according to the payment schedule and due dates specified in the applicable invoice.

Unless otherwise agreed in writing, a deposit is required to confirm and reserve the production date. The production date is not considered reserved until the required deposit has been received by TOURING JONNY LAB.

Any remaining balance must be paid according to the payment schedule stated in the invoice.

TOURING JONNY LAB may withhold delivery of footage, files, or other project materials until all outstanding amounts have been paid in full.

Payment Methods

Payments must be made using a payment method accepted by TOURING JONNY LAB and specified or made available through the applicable invoice.

Cancellation and Rescheduling

The cancellation and rescheduling terms stated in the applicable invoice are incorporated into this Agreement. If the applicable invoice expressly provides cancellation or rescheduling terms that differ from this section, the terms stated in the applicable invoice will control for that Project.

Unless otherwise specified in writing, all deposits are non-refundable.

If the Client cancels or requests to reschedule the production at least 48 hours before the scheduled start time, the full deposit may be transferred one time as a credit toward one future production scheduled within six months of the original production date, subject to TOURING JONNY LAB’s availability. The transferred deposit has no cash value and is not refundable.

If the Client cancels or requests to reschedule the production less than 48 hours before the scheduled start time, the deposit is non-refundable and non-transferable.

Any non-refundable or non-recoverable project-specific third-party expenses authorized by the Client or otherwise expressly included in the agreed project scope, and already incurred or committed by TOURING JONNY LAB in connection with the Project, including equipment rentals, crew, permits, location fees, travel arrangements, or other third-party costs, remain the Client’s responsibility and are separate from the deposit or any deposit credit. Any such amounts not previously paid by the Client may be invoiced separately and will be due according to the applicable invoice.

Any cancellation or rescheduling request must be communicated to TOURING JONNY LAB in writing by email or text message. Verbal notice alone does not constitute valid notice of cancellation or rescheduling under this Agreement.

Client Responsibilities and Expenses

The Client is responsible for providing timely access to all locations required for the production and for obtaining any permissions, permits, releases, or approvals necessary for filming at locations controlled or selected by the Client, unless otherwise agreed in writing.

The Client is responsible for parking fees, entry fees, permits, location fees, access fees, and other reasonable location-related or access-related expenses required for the production. These expenses are not included in the production fee unless specifically stated otherwise and may be charged separately.

Client Responsibility for Equipment Damage

The Client is responsible for loss of or physical damage to equipment owned, rented, leased, or supplied by TOURING JONNY LAB when such loss or damage is directly caused by the Client or by the Client's employees, representatives, contractors, guests, participants, invitees, or other persons under the Client's direction, supervision, responsibility, or control, or when such loss or damage arises from the Client’s breach of this Agreement, unauthorized changes to the agreed scope of services, failure to provide accurate project information, failure to follow agreed safety requirements, or other circumstances for which the Client is responsible under this Agreement.

The Client is responsible for notifying TOURING JONNY LAB of any changes to the project conditions, location, environment, schedule, access, safety requirements, or intended use of equipment that may affect production planning, equipment selection, or safe performance of the services.

The Client will not be responsible for ordinary wear and tear, equipment malfunction, manufacturing defects, or damage caused solely by TOURING JONNY LAB personnel.

If damaged equipment can reasonably be repaired, the Client may be charged the reasonable cost of restoring the equipment to substantially the same functional condition it was in immediately before the damage occurred.

If the equipment is lost, destroyed, or cannot reasonably or economically be repaired, the Client may be charged the current retail replacement cost of a new unit of the same make and model, regardless of the original purchase price, discounts, promotional pricing, depreciation, or age of the damaged equipment.

If the same make and model is discontinued or no longer commercially available new, the replacement amount may be based on the current retail price of the nearest new professional equivalent providing substantially comparable functionality and capability.

Any amount payable by the Client for the same loss will be reduced by insurance proceeds actually received by TOURING JONNY LAB specifically for that loss, so that TOURING JONNY LAB does not recover the same loss twice.

Additional Services and Changes

Any material change to the agreed project scope, production schedule, location, deliverables, equipment requirements, crew requirements, or other project terms must be agreed upon by both parties in writing.

Additional services or changes requested by the Client may result in additional charges.

Safety and Production Conditions

TOURING JONNY LAB may suspend or stop production if conditions at the production location create a reasonable risk to the safety of the crew, equipment, Client, participants, or other persons present.

Such conditions may include, but are not limited to, violence, threats, harassment, unsafe behavior, hazardous conditions, illegal activity, severe weather, or any other circumstance that makes continued production unsafe or unreasonable.

TOURING JONNY LAB will not be required to place personnel or equipment at unreasonable risk in order to continue production.

Changes to Production Conditions

The Client must provide accurate information regarding the production location and reasonably foreseeable production conditions before the shoot.

If the actual location or production conditions materially differ from those previously communicated by the Client and the change requires additional equipment, crew, time, permits, preparation, or creates an unreasonable risk to personnel or equipment, TOURING JONNY LAB may modify, delay, suspend, or decline the affected portion of the production.

Force Majeure

Neither party will be considered in breach of this Agreement for delay or failure to perform caused by circumstances beyond that party's reasonable control, including natural disasters, severe weather, fire, earthquake, government orders, public emergencies, civil unrest, war, labor disruptions, utility or transportation failures, or other comparable events beyond the reasonable control of the affected party.

If such an event prevents or materially interferes with production, the parties will make reasonable efforts to reschedule the affected services.

Technical Issues and Data Loss

TOURING JONNY LAB will use reasonable professional care in the operation, handling, and storage of production equipment and recorded media.

The Client acknowledges that video production involves electronic equipment, digital media, software, and other technology that may occasionally experience unexpected malfunction, corruption, failure, or loss despite reasonable professional precautions.

If a technical failure, equipment malfunction, or loss of recorded material occurs, due to circumstances not caused or materially contributed to by the Client or persons for whom the Client is responsible, TOURING JONNY LAB will make reasonable efforts to recover affected files, restore affected materials, or complete the affected services when reasonably possible.

If recorded material is lost, corrupted, damaged, or otherwise becomes unusable, and recovery is unsuccessful, TOURING JONNY LAB may, when reasonably possible, offer to recreate the affected portion of the services at no additional production fee.

If reproduction is not reasonably possible, TOURING JONNY LAB's responsibility for the affected undelivered portion of the services will be limited, to the extent permitted by law, to a refund of the amount paid by the Client that is reasonably attributable to that undelivered portion, subject to the Limitation of Liability provisions of this Agreement.

This remedy does not apply to loss, damage, corruption, or interruption caused or materially contributed to by the Client, the Client's personnel, guests, participants, contractors, locations under the Client's control, inaccurate information provided by the Client, unauthorized interference with production equipment, breach of this Agreement, unauthorized changes to the agreed project conditions, or failure to provide accurate production information.

Delivery, Raw Footage and Storage

The specific deliverables for each Project will be identified in the applicable invoice or project documentation.

If the Project is contracted as production-only without editing or post-production, raw footage may be included as a deliverable when specifically stated in the applicable invoice.

If editing or post-production is included, the Client will receive the completed deliverables specified in the applicable invoice. Raw footage, project files, timelines, working files, proxies, source files, or other production materials are not included unless expressly stated otherwise in writing.

Raw footage or other production files may be made available upon request for an additional fee. Any such fee may reflect file volume, storage media, transfer time, preparation, organization, processing, or other work required to prepare the materials for delivery.

All deliverables will be released only after all amounts due for the Project have been paid in full, unless otherwise agreed in writing.

TOURING JONNY LAB will retain project materials for 30 days after final delivery, unless a different retention period is agreed in writing. After that period, TOURING JONNY LAB may permanently delete raw footage, project files, backups, and other project materials without further notice.

Following delivery, the Client is responsible for downloading, backing up, and maintaining all delivered materials. TOURING JONNY LAB does not provide permanent archival storage unless separately agreed in writing.

Client-Provided and Third-Party Materials

The Client is responsible for obtaining all necessary rights, licenses, permissions, and approvals for any music, photographs, videos, graphics, logos, trademarks, scripts, or other materials provided or specifically requested by the Client for use in the Project.

The Client represents that materials supplied by the Client may lawfully be used for the intended Project purpose.

TOURING JONNY LAB is not responsible for claims arising from or relating to the unauthorized use of materials supplied or specifically required by the Client. TOURING JONNY LAB will use reasonable efforts to obtain and use third-party music, stock footage, graphics, templates, fonts, or other licensed materials in accordance with the applicable license terms in effect when such materials are obtained and used for the Project.

Third-party materials remain subject to the license terms, restrictions, distribution requirements, platform requirements, and policies of their respective licensors. TOURING JONNY LAB does not control and cannot guarantee future changes to third-party licensing terms, platforms, Content ID systems, copyright-claim systems, or other third-party enforcement mechanisms.

The Client must inform TOURING JONNY LAB of any intended use, distribution method, advertising use, broadcast use, paid media use, resale, sublicensing, or delayed publication that may require a different or extended third-party license. If the Client specifically requests material for which appropriate rights cannot reasonably be obtained, TOURING JONNY LAB may decline to use that material or require the Client to obtain and provide the necessary license or written authorization.

A copyright or Content ID claim issued by an automated platform does not, by itself, establish that the material was used without authorization. Upon reasonable request, TOURING JONNY LAB will provide available licensing information or documentation relating to third-party materials obtained by TOURING JONNY LAB for the Project.

Permissions and Appearance Releases

Unless otherwise agreed in writing, the Client is responsible for obtaining any permissions, permits, releases, consents, or approvals required to conduct filming at locations selected or controlled by the Client.

The Client is also responsible for obtaining any appearance releases, property releases, performer releases, or other permissions required for the intended recording and subsequent use, publication, distribution, advertising, or other exploitation of persons, performances, property, or locations included in the Project.

TOURING JONNY LAB may assist with release forms or permission documentation when agreed in advance, but such assistance does not transfer responsibility for obtaining required authorization unless TOURING JONNY LAB expressly accepts that responsibility in writing.

Editing, Revisions and Creative Discretion

Editing, post-production, color grading, sound design, graphics, visual effects, revisions, and other post-production services are included only when specifically stated in the applicable invoice or project documentation.

When creative or post-production services are included, TOURING JONNY LAB retains reasonable professional and creative discretion in matters such as framing, camera placement, lighting, editing style, pacing, color treatment, sound treatment, and other creative or technical decisions, subject to any specific requirements agreed upon in writing.

The number and scope of revisions, if any, will be specified in the applicable invoice or project documentation. Additional revisions or changes outside the agreed scope may require additional fees.

Copyright, Usage and Portfolio Rights

Unless otherwise expressly agreed in writing, TOURING JONNY LAB retains all copyrights and ownership rights in original footage, edited works, and other original creative materials created by TOURING JONNY LAB in connection with the Project.

Upon full payment, the Client receives a non-exclusive, perpetual license to use, reproduce, display, publish, and distribute the delivered materials for the Client’s own personal, business, marketing, promotional, and communication purposes.

Where raw footage or other source footage is included in the agreed deliverables, the Client may edit, modify, color grade, crop, reformat, combine, and otherwise adapt such footage to create derivative works for those permitted purposes, and may provide such footage to editors, agencies, contractors, or other service providers solely as necessary to perform such services on the Client’s behalf.

Final edited deliverables produced by TOURING JONNY LAB may be cropped, resized, or reformatted as reasonably necessary for publication or platform requirements, but may not be materially altered, recolored, filtered, or otherwise modified in a manner that materially changes the creative appearance of the work and is then presented or attributed as the work of TOURING JONNY LAB.

The Client may not sell, transfer, assign, sublicense, or otherwise grant any rights in the delivered materials to any third party without prior written approval from TOURING JONNY LAB. Any unauthorized transfer or use of the delivered materials by the Client or any third party shall constitute a material breach of this Agreement and infringement of TOURING JONNY LAB’s intellectual property rights.

The Client is responsible for notifying TOURING JONNY LAB before any intended use that exceeds the rights granted under this Agreement. Any expanded usage rights must be approved in writing by TOURING JONNY LAB before such use occurs.

Raw footage, project files, working files, and other production materials remain the property of TOURING JONNY LAB unless their delivery or transfer is expressly included in writing. Delivery of raw footage does not, by itself, constitute a transfer of copyright.

Third-party materials incorporated into the Project remain subject to the rights and license terms of their respective owners and are not included in any transfer or license beyond the rights lawfully available for the Project.

Any assignment of copyright, exclusive license, work-made-for-hire arrangement, or other transfer of ownership must be expressly agreed upon in a separate written provision.

Unless the Client requests confidentiality in writing before production and TOURING JONNY LAB agrees to such restriction, TOURING JONNY LAB may display reasonable excerpts, still frames, behind-the-scenes materials, or completed work from the Project in its portfolio, website, social media, showreel, advertising, awards submissions, and other self-promotional materials.

Confidentiality

The Client must notify TOURING JONNY LAB in writing before production if the Client requires any specific information, materials, or aspects of the Project to be treated as confidential.

Confidential information will only include information specifically identified by the Client as confidential and agreed upon in writing by TOURING JONNY LAB.

Unless otherwise agreed in writing, the existence of the Project, the production process, completed deliverables, footage, photographs, and other creative materials created for the Project will not be considered confidential information.

This section does not apply to personal information that TOURING JONNY LAB is required to protect under applicable privacy laws.

Limitation of Liability

To the extent permitted by applicable law, TOURING JONNY LAB's total liability arising from the Project will not exceed the total amount actually paid by the Client to TOURING JONNY LAB for the affected Project.

TOURING JONNY LAB will not be responsible for indirect, incidental, consequential, special, or exemplary damages, including lost profits, lost revenue, lost business opportunities, loss of anticipated savings, or similar economic losses resulting from circumstances beyond its reasonable control or arising out of or relating to the Project.

TOURING JONNY LAB will not be responsible for such damages resulting from circumstances addressed under the Force Majeure, Safety and Production Conditions, Changes to Production Conditions, Technical Issues and Data Loss, and Client Responsibilities provisions of this Agreement.

Nothing in this Agreement is intended to exclude or limit liability for fraud, willful misconduct, or any other liability that cannot legally be excluded or limited under applicable law.

Termination of Contract

Either party may terminate this Agreement if the other party materially breaches its obligations under this Agreement and fails to cure such breach within a reasonable period after written notice, when such cure is reasonably possible.

TOURING JONNY LAB may terminate or suspend performance of services if the Client fails to make required payments, provides materially inaccurate project information, creates unsafe production conditions, requests services outside the agreed scope without approval, or otherwise materially violates this Agreement.

Termination does not eliminate the Client's obligation to pay any amounts properly due for services already performed, approved expenses already incurred, or other charges owed under this Agreement before termination.

Entire Agreement and Governing Law

This Agreement, together with the applicable invoice and any written project-specific documentation incorporated into it, constitutes the entire agreement between the parties regarding the Project and supersedes prior discussions, communications, or understandings concerning the same subject matter.

Any amendment to this Agreement must be agreed upon in writing by both parties.

This Agreement will be governed by the laws of the State of California.

Authority to Sign

Each party has the authority to enter into this Agreement and to perform all of its obligations under this Agreement.

If you have any questions about these terms or how they apply to your project, please contact TOURING JONNY LAB before booking or signing a project-specific Service Agreement.
